4月12日，国务院时隔十年发布第三个资本市场“国九条”，沪深交易所就多项具体业务规则修订向社会公开征求意见，其中拟将多年不分红或者分红比例偏低的公司纳入“实施其他风险警示（ST）”的情形。

就在此时，却有一家上市公司“吉林高速”成为“显眼包”。同在4月12日，吉林高速发布2023年年报，拟定利润分配预案为“不进行利润分配，不进行现金分红”，这已是公司连续两年不分红。

这与公司的业绩水平形成鲜明反差：公司已经连续三年盈利增长，近两年累计净利润达9.4亿元，最新未分配利润超26亿元，账上现金超15亿元，而负债率低至20%以下。这种情况下，甚至包括公司副董事长在内的两名董事（其中一名为独董），在表决分配议案的董事会会议上都投出了弃权票。

4月14日，上交所向公司发出了问询函，要求说明连续多年不或少现金分红的原因及合理性，是否存在大额资金闲置的情况，“全体董事是否独立审慎判断本次利润分配方案”。

有能力却不分红？问询函来了

4月12日，吉林高速审议通过2023年度利润分配预案，拟不进行利润分配，不进行现金分红、不实施送股和资本公积金转增股本，其中副董事长刘先福、独立董事林建忠对该预案投弃权票。

刘先福投弃权票的理由是：建议公司在满足长远发展资金需求的同时，也应考虑股东的即期现金回报要求，制定现金分红方案。而林建忠投弃权票的理由是：公司在保持稳健发展的情况下，取得了较好的经营业绩。建议2023年按照监管要求并结合公司实际情况，制定适当的现金分红方案。

公告显示，2019年至2023年，公司年度实现归属于上市公司股东的净利润分别为1.89亿元、0.99亿元、3.18亿元、3.94亿元、5.46亿元，连续五年盈利、连续三年盈利增长。但公司现金分红比例仅分别为0、0、10.18%、0、0，仅2021年度低比例分红3240.95万元。公司连续多年盈利，但多年未实施现金分红。

吉林高速称，留存未分配利润将用于公司日常运营发展、投资、偿还债务等。但截至报告期末，公司资产负债率仅为17.96%，连续多年下降；母公司期末未分配利润高达26.35亿元，连续多年增长；期末货币资金余额达15.13亿元。

这一情况立刻引发市场关注，尤其当天资本市场第三个“国九条”发布，沪深交易所正拟将现金分红制度纳入强制约束安排。果不其然，4月14日，吉林高速收到了上交所的问询函。
